The game flows in a series of alternating stock rounds and sets of operating rounds.[1]
**Private Company Auction**
1. The game begins with an auction of the private companies.[2][1]
2. Starting with the player with the priority deal card and proceeding clockwise, each player takes one of the following actions: purchase the cheapest private company at face value, place a bid on a higher value private company, or pass.[3]
3. When placing a bid, the minimum bid is $5 above the face value or $5 above the previous highest bid, whichever is greater, and all bids must be a multiple of $5.[3]
4. If a company is purchased for face value and there are subsequent bids, the sequence is paused to resolve those bids.[3]
5. If two or more bids exist for an item, the item is auctioned between those bidders; starting with the lowest bidder, players must raise the bid by at least $5 (in multiples of $5) or pass.[3]
6. The auction ends when only one player remains.[3]
7. The auction continues with the player to the left of the player who purchased the first item remaining on offer (for face value).[3]
8. The auction ends when all private company certificates have been purchased and the player who won the P6 Cornelius Vanderbilt private company has set the par value.[3]
**Stock Rounds**
1. A stock round consists of a series of turns, starting with the first player (the holder of the priority deal card) and proceeding clockwise.[2]
2. On each turn, a player may sell any number of certificates, buy one certificate, or pass (by doing neither).[2]
3. If a player performs both buying and selling, they must sell before they buy.[2]
4. All transactions are done between a player and the bank; players may never buy stock directly from one another.[2]
5. A player who buys, sells, or bids during the private company auction is guaranteed another turn in the current round.[2]
6. The stock round ends only when all players pass consecutively.[2][4]
7. The priority deal card is given to the player to the left of the last player to buy or sell stock in the round (unless there were no transactions, in which case the card does not move).[4]
**Operating Rounds**
1. During an operating round, players act as company presidents to control the operations of companies in play.[5]
2. Each company, in turn, has the opportunity to: lay or upgrade track, place a station marker, run trains, distribute earnings (pay dividends) or retain earnings in the treasury, and purchase new trains.[5]
3. The number of operating rounds between stock rounds depends on the game phase: one round in the first phase, two in the middle phases, and three in the late part of the game.[5]
**Ending the Game**
The game ends in one of two ways:
1. The bank runs out of money ("bank breaks").[6] If this happens during an operating round, the current set of operating rounds is completed; if it happens during a stock round, the stock round and one set of operating rounds are completed.[6]
2. A player goes bankrupt during Emergency Money Raising.[6] In this case, the emergency money raising process is completed and the game ends immediately.[6]
**Winning**
The richest player wins, where total wealth is calculated as the value of their stock (at current market prices), private companies (at face value, if the game ends before Phase 5), and cash on hand.[6]
